2. Platform Description

US Industrial Exchange (USIE) is a neutral online marketplace platform that facilitates communication and transactions between buyers, sellers, and factoring partners in the industrial materials industry.

Important Notice:

USIE is NOT a buyer, seller, broker, agent, carrier, insurer, or party to any transaction. We do not:

  • Buy, sell, or take possession of any products
  • Ship, store, or handle materials
  • Verify product quality, quantity, or specifications
  • Guarantee delivery, pricing, or payment
  • Insure goods or transactions
  • Assume liability for any aspect of transactions

3. User Responsibilities

3.1 Account Registration

Users must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Authorization

By placing or accepting orders through USIE, you confirm that you have the authority to bind your company to the transaction.

3.3 Accurate Information

Users are solely responsible for the accuracy of all information provided, including product descriptions, quantities, pricing, delivery details, and payment information.

4. Transactions

4.1 Direct Contracts

All transactions are solely between the buyer, the seller, and the factoring partner. USIE is not a party to any contract and assumes no contractual obligations.

4.2 Order Process

  • Orders placed through USIE become binding when accepted by the seller
  • Buyers are responsible for ensuring order accuracy before submission
  • Sellers are responsible for fulfilling accepted orders as specified
  • All payment terms and arrangements are between buyer, seller, and factoring partner

4.3 Delivery & Logistics

All delivery, shipping, and logistics arrangements are the sole responsibility of the buyer and seller. USIE does not verify delivery information, track shipments, or mediate delivery disputes.

5. Limitation of Liability

IMPORTANT - PLEASE READ CAREFULLY:

USIE EXPRESSLY DISCLAIMS ALL LIABILITY FOR:

  • Product quality, quantity, specifications, or suitability
  • Pricing, payment terms, or financial arrangements
  • Delivery schedules, methods, or accuracy
  • Accuracy of information provided by users
  • Disputes between buyers and sellers
  • Breaches of contract by any party
  • Loss, damage, or delays of materials
  • Any direct, indirect, incidental, or consequential damages

6. Dispute Resolution

Any disputes regarding transactions must be resolved directly between the buyer, seller, and/or factoring partner. USIE is not responsible for mediating, arbitrating, or resolving disputes.

Users agree that they will not hold USIE liable for any disputes, claims, or damages arising from transactions conducted through the platform.

7. Prohibited Activities

Users may not:

  • Use the platform for any illegal or unauthorized purpose
  • Provide false, inaccurate, or misleading information
  • Interfere with or disrupt the platform's operation
  • Attempt to gain unauthorized access to the platform
  • Harass, abuse, or harm other users
  • Violate any applicable laws or regulations

8. Intellectual Property

All content, trademarks, and intellectual property on the USIE platform are owned by US Industrial Exchange or its licensors. Users may not copy, modify, distribute, or create derivative works without express written permission.

9. Privacy

Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Modifications

USIE reserves the right to modify these Terms of Use at any time. Continued use of the platform after changes constitutes acceptance of the modified terms. We will notify users of material changes via email or platform notification.

11. Termination

USIE reserves the right to suspend or terminate user accounts at any time for violation of these Terms of Use or for any other reason at our sole discretion.

12. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
